Welcome to aidcen.com (the “Website”), a Membership-as-a-Service (MaaS) platform owned and operated by Aidcen (“we,” “us,” or “our”).

By registering an account on our platform or using our services, you agree to be legally bound by these Terms and Conditions. If you do not agree to these terms, you must not create an account or use our platform and services.

1. Eligibility and Account Registration

  1. Age Requirement: You must be at least 18 years old to register for an account or purchase services.
  2. Account Accuracy: You must provide accurate, current, and complete information during registration.
  3. Third-Party Authentication: If you register or log in using Continue with Google, you authorize Aidcen to access and use basic profile information from your Google account to maintain your identity securely.
  4. Credentials Security: You are solely responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@aidcen.com of any unauthorized access to your account.

2. Scope of Services, Delivery, and Access Restrictions

  1. Membership-as-a-Service (MaaS): Your paid or active membership grants you a limited, non-transferable license to access specific digital tools, educational resources, or perks outlined in your selected subscription plan on aidcen.com.
  2. Membership Tiers and Feature Restrictions: Access to the platform’s features, tools, groups, and content is strictly tier-dependent. Different membership levels grant different depths of access to digital tools, resources, and specific community forums as detailed on our pricing page. Aidcen reserves the absolute right to restrict access to premium or advanced features for lower-tier or free membership accounts.
  3. Upgrades and Downgrades: You can upgrade or downgrade your membership tier at any time through your dashboard. Changes in tier levels will modify your platform access permissions instantly, and billing adjustments will be processed automatically through Flutterwave.
  4. Circumvention Prohibited: Any attempt to bypass, trick, or hack platform tier access restrictions to view content or use features outside your assigned membership level is strictly prohibited and constitutes a violation of these terms.
  5. Tier-Based Newsletters: When you register on our website, you may receive digital newsletters containing platform content, updates, or curated resources based on the user tier you have selected. You can opt out or unsubscribe from these newsletters at any time by clicking the “Unsubscribe” link located at the bottom of every email or by adjusting your profile parameters inside your dashboard.
  6. Email & Sitewide Advertising Services: Businesses or individuals purchasing email advertising space, newsletter sponsor slots, or sitewide ad placements (including banner ads, sidebar displays, or pop-up graphics) agree to submit creative materials that comply with our ad standards. Aidcen reserves the right to reject, modify, or cancel any advertisement that violates governing laws, contains misleading claims, or harms our community environment.
  7. Service Modifications: Aidcen reserves the right to update, modify, or discontinue specific service features, interface layouts, or deliverables at any time to improve the platform experience.

3. Subscription Fees and Payments

  1. Currency: All membership fees and advertising balances are processed via xxx in UGX/ USD. You are entirely responsible for any international transaction or bank processing fees applied by xxx or your local financial institution.
  2. xxx Terms: All payments are securely processed through our integrated third-party payment gateway, Flutterwave. By purchasing a membership or service, you agree to comply with xxx’s terms of service and consumer privacy policies.
  3. Automatic Renewal: Ongoing membership plans are billed on a recurring basis. Subscriptions automatically renew unless cancelled through your account dashboard before the next recurring payment date.
  4. Payment Failures: If xxx is unable to process your recurring fee due to an expired card, insufficient funds, or provider limitations, your access to membership services, tier-based newsletters, and community privileges on aidcen.com will be suspended immediately.

4. Cancellation and Refund Policy

  1. Cancellation: You may cancel a membership subscription at any time via your account dashboard. Cancellation stops future automated renewals but leaves your current access active until the end of your prepaid billing period.
  2. Advertising Purchases: Fees for email and sitewide advertising campaigns are non-refundable once the campaign asset has been processed, approved, scheduled, or broadcast on the platform.
  3. Refund Policy: To the maximum extent permitted by law, all fees paid via Flutterwave for our services are non-refundable. No prorated refunds are issued for partially used subscription periods. Opening an unauthorized chargeback or payment dispute without contacting Aidcen first may result in immediate and permanent account termination.

5. User-Generated Content and AI Community Moderation

Our platform hosts active interactive forums, comment forms, chat groups, and community boards. By posting content, you agree to the following rules:

  1. User Responsibility: You retain ownership of the text, images, or materials you post (“User Content”). However, you are entirely responsible for the legality, safety, and accuracy of your content.
  2. Media Upload Rule: If you upload images to aidcen.com or include media in your email or sitewide advertising assets, you must avoid uploading images with embedded location data (EXIF GPS) included, as other visitors can download and extract this data.
  3. Community Standards: You agree to strictly abide by our Community Code of Conduct, which prohibits defamation, obscenity, pornography, hate speech, financial scams, spam, and any behavior that violates applicable rules or governing laws.
  4. Automated & AI Moderation: To maintain a safe environment, Aidcen uses automated systems and Artificial Intelligence (AI) moderation tools to screen, flag, and filter User Content and submitted advertising materials in real-time. This AI technology may automatically hide, delete, or restrict posts that appear to violate our rules.
  5. Three-Strike Policy: Minor violations flagged by our AI systems will result in an automated warning. Accumulating three strikes will lead to a permanent block from the community space. Severe violations (such as fraud, explicit threats, or severe hate speech) will result in an immediate, permanent ban without refund or prior warning.
  6. Human Review & Appeals: AI moderation is not perfect. If your content or advertisement is mistakenly flagged or removed by our AI systems, you have the right to request a human review by contacting us at support@aidcen.com. Aidcen reserves final authority on all content decisions.

6. Intellectual Property Rights

  1. Platform Proprietary Rights: All software, newsletter templates, sitewide content, structural design, videos, training materials, and brand trademarks on aidcen.com are the exclusive property of Aidcen.
  2. Usage Restrictions: Your membership grants you a personal, non-exclusive, non-transferable license to utilize our services. You may not copy, resell, republish, or distribute our proprietary materials or newsletter contents outside the platform.

7. Data Protection and Privacy Integration

  1. Privacy Policy Incorporation: Your privacy is highly important to us. Our collection, storage, use, and protection of your personal data are governed strictly by our separate Privacy Policy, which is fully incorporated into these Terms and Conditions by reference.
  2. Financial Data Security: Because your membership and service fees are handled exclusively through Flutterwave, Aidcen does not collect, view, or store your credit card details or bank credentials on our servers. All billing data is collected and secured directly by xxx under their own compliant security standards.

8. Account Suspension and Termination

  1. Breach of Terms: Aidcen reserves the right to suspend or permanently terminate your membership account immediately if you breach these terms, violate our Code of Conduct, or engage in behavior harmful to other community members.
  2. Forfeiture: If your account is terminated due to a violation of the community guidelines or terms of service, you will forfeit any remaining subscription time without entitlement to a refund or compensation.

9. Disclaimers

  1. As-Is Basis: Services are provided on an “as-is” and “as-available” basis. We do not guarantee uninterrupted, secure, or error-free access to the community, newsletters, or advertising systems on aidcen.com.
  2. No Guarantees: Aidcen does not guarantee specific individual earnings, business outcomes, or open/click/impression performance metrics resulting from platform participation, newsletters, or sitewide advertising campaigns.

10. Governing Law and Jurisdiction

  1. Governing Law: These Terms and Conditions shall be governed by, interpreted, and enforced in accordance with the laws of Uganda.
  2. Dispute Resolution: Any dispute arising from these terms shall first be addressed through amicable negotiation. If a resolution is not reached, the dispute shall be submitted to the exclusive jurisdiction of the competent courts located in Uganda.
